Terms of Use

These Terms of Use ("Terms") govern your use of the LOOK mobile application and related websites, data, content, products, or services (the "Application") provided by LOOK THE APP, INC., or any parent, subsidiary or affiliate thereof (collectively, "LOOK"). PLEASE READ THESE TERMS CAREFULLY, IT IS A LEGAL AGREEMENT BETWEEN YOU AND LOOK.

By accessing or using the Application, you confirm your agreement to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Application.

LOOK may amend these Terms from time to time, effective upon LOOK's posting of such updated Terms at this location. Your continued access or use of the Application after such posting confirms your consent to be bound by these Terms, as amended.

LOOK reserves the right, in its sole and absolute discretion, at any time and for any reason, with or without prior notice, to modify, suspend, or discontinue all or any portion of the Application, or to terminate your access to the Application.

LOOK's collection and use of personal information in connection with the Application is described in  LOOK's privacy policy ("Privacy Policy") located at looktheapp.com/privacy-policy, which is incorporated by reference into these Terms.

Access to the Application is limited to persons who are 18 or older, or have the consent of their parent or guardian to use the Application. Access is limited to persons located in the United States.

OWNERSHIP

The Application, and all rights therein, and all content (including all data, text, photos, videos, graphics, logos, software, or other content) available on or through the Application ("Content"), are and shall remain the property of LOOK or its licensors. No Content may be copied, republished, uploaded, posted, transmitted, distributed in any way, or modified. The Application and Content are protected by copyright, trademark, trade dress, patent, trade secret, domain name, international treaties, and other proprietary rights, and laws of the United States and other countries. Except as expressly provided in these Terms, no right or license is granted to you in or to the Application or Content, or to use LOOK's or its licensors' company name, brands, logos, product and service names, trademarks, or website marks.

ACCESS RIGHTS

LOOK grants you a non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Application and Content, subject to any applicable limitations or other terms stated herein or in the Application, solely for your personal purposes. The foregoing is a license and not an agreement for sale.

RESTRICTIONS ON ACCESS AND USE

You may not:

  • remove any copyright, trademark, or other proprietary notices from any portion of the Application or Content;

  • reproduce, copy, modify, prepare derivative works based on, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Application or Content;

  • decompile, reverse engineer, or disassemble the Application or Content, or otherwise reduce the software or Content to a human-perceivable form for any purpose (except to the extent applicable law requires such activity be permitted), including to build a product or service competitive with the Application or Content;

  • deep link to, mirror, or frame any portion of the Application or Content;

  • cause or launch any robot, spider, web crawler, extraction software, device, program or scripts for the purpose of monitoring, scraping, indexing, surveying, or otherwise data mining any portion of the Application or Content, or unduly burdening or hindering the operation or functionality of any aspect of the Application or Content;

  • attempt, through any means, to gain unauthorized access to, or to overburden or disable, any part of the Application, other account, computer system or network connected to any LOOK owned, shared, or leased server;

  • upload or transmit viruses or other harmful, disruptive, or destructive files;

  • disrupt, interfere with, or otherwise harm or violate the security of the Application, system resources, accounts, passwords, servers or networks connected to or accessible through the Application or affiliated or linked sites;

  • combine the Application or Content with any other data or information for the purpose, or with the result, of determining the identity or other personal information of any person who provided information or data to the Application;

  • use the Application or Content to train an artificial intelligence application or model; or

  • otherwise violate the letter or spirit of these Terms.

 

You agree that violations of the foregoing access and use restrictions may be so serious and incalculable that monetary compensation may not be a sufficient or appropriate remedy and that LOOK will be entitled to temporary and permanent injunctive relief to prohibit such use or activity, without the need to prove damages or to post bond.

You hereby indemnify and hold harmless LOOK from and against any and all claims, allegations, demands, suits, and proceedings (collectively, "Claims"), and from and against any liability, judgments, awards, damages, settlements, fees, and costs (including attorney’s fees) (collectively, "Damages") incurred in connection with any such Claims, brought or asserted by any third party arising out of or relating to your violation of the foregoing restrictions.

YOUR CONDUCT

You agree:

  • not to use the Application without the consent of your parent or guardian if you are under age 18;

  • not to cause nuisance, annoyance, inconvenience, or property damage to any other party;

  • not to access the Application using a third-party's account or registration without the express consent of the account holder;

  • not to attempt to impersonate another user or person;

  • not to interfere with any other party's use and enjoyment of the Application;

  • not to use the Application to engage in commercial activities;

  • not to use the Application as part of an effort to compete with LOOK or the Application;

  • not to harass, annoy, intimidate, or threaten any Application user or LOOK employee or agent;

  • to comply with all applicable laws regarding online conduct and submission of acceptable user content; and

  • not to use the Application for any illegal purpose.

 

You agree that violations of the foregoing conduct restrictions may be so serious and incalculable that monetary compensation may not be a sufficient or appropriate remedy and that LOOK will be entitled to temporary and permanent injunctive relief to prohibit such use or activity, without the need to prove damages or to post bond.

 

You hereby indemnify and hold harmless LOOK from and against any and all Claims, and from and against any Damages incurred in connection with any such Claims, brought or asserted by any third party arising out of or relating to your violation of the foregoing restrictions.

SUSPENSION AND TERMINATION

LOOK has the right to suspend or otherwise block your current or future use of the Application for any reason or no reason, including if you violate or fail to comply with any of your obligations or requirements under these Terms or the Privacy Policy.

DISCLAIMERS; LIMITATION OF LIABILITY

THE APPLICATION AND CONTENT, INFORMATION, OR DATA AVAILABLE THROUGH THE APPLICATION, ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOOK AND ITS LICENSORS DISCLAIM ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, NOT EXPRESSLY SET OUT IN THIS AGREEMENT, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN ADDITION, LOOK MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, OR AVAILABILITY OF THE APPLICATION OR CONTENT, INFORMATION, OR DATA AVAILABLE THROUGH THE APPLICATION, OR THAT THE APPLICATION OR OTHER CONTENT, INFORMATION, OR DATA AVAILABLE THROUGH THE APPLICATION WILL BE ACCURATE, UNINTERRUPTED OR ERROR-FREE. THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE APPLICATION REMAINS SOLELY WITH YOU.

IN NO EVENT SHALL LOOK OR ITS LICENSORS BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY ADVANTAGE) ARISING OUT OF THE APPLICATION, CONTENT, INFORMATION, OR DATA AVAILABLE THROUGH THE APPLICATION, THE AGREEMENT, OR THE USE OF OR INABILITY TO USE THE APPLICATION EVEN IF LOOK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF RECOVERY. LOOK OR ITS LICENSORS SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY, OR LOSSES ARISING OUT OF YOUR USE OF OR RELIANCE ON THE APPLICATION OR YOUR INABILITY TO ACCESS OR USE THE APPLICATION, OR ANY INACCURACY IN THE APPLICATION, EVEN IF LOOK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

NOTWITHSTANDING ANYTHING TO THE CONTRARY, YOUR SOLE REMEDY IN RESPECT OF THE APPLICATION, THESE TERMS, OR PRIVACY POLICY, REGARDLESS OF ANY THEORY OF RECOVERY, SHALL BE FOR YOU TO CEASE YOUR USE OF THE APPLICATION.

IF ANY PART OF THIS LIMITATION OF LIABILITY IS FOUND TO BE INVALID OR UNENFORCEABLE FOR ANY REASON, THEN THE AGGREGATE LIABILITY OF LOOK UNDER SUCH CIRCUMSTANCES FOR LIABILITIES THAT OTHERWISE WOULD HAVE BEEN LIMITED SHALL NOT EXCEED THE LOWEST LIMITATION OF LIABILITY ALLOWED BY LAW, OR, IN THE EVENT SUCH AMOUNT IS NOT PRESCRIBED BY LAW, ONE HUNDRED DOLLARS ($100).

GENERAL

You may not assign these Terms. Any purported assignment in violation of the foregoing shall be void. LOOK may assign these Terms, including any portion of or all of the rights set forth herein, without your consent. No joint venture, partnership, employment, or agency relationship exists between you, LOOK or any third-party as a result of these Terms or use of the Application. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law. LOOK's failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by LOOK in writing. In these Terms, "including" means "including, but not limited to"; and "or" means "and/or", not "either... or".
